EDF Energies Nouvelles initiates a Simplified Public Purchase Offer on FUTUREN

Following the acquisition, on June 9, 2017, of 67.2%[1] of the capital of the company FUTUREN (FTRN), EDF Energies Nouvelles filed today a draft information note with the Autorité des marchés financiers Financial Markets (AMF) with a view to proposing a simplified public purchase offer relating to all the shares and convertible bonds (OCEANE) of the company FUTUREN not held by the EDF Energies Nouvelles group.

This offer will be proposed at a price of €1.15 per share and €9.37 (detached coupon) by OCEANE, i.e. under the same conditions as the acquisition made on June 9, 2017 from the previous majority shareholders of FUTUREN.

FUTUREN also filed today with the AMF a draft note in response to the simplified public purchase offer initiated by EDF Energies Nouvelles, which notably contains the reasoned opinion of its board of directors, meeting on 19 June 2017, according to which, based on the conclusions of the Finexsi firm[2] and the recommendations of the independent committee, this offer is in the best interest of the company, its employees, and its shareholders and OCEANE holders.

The offer and the two draft notes remain subject to examination by the AMF.
