EDF Energies Nouvelles launches a simplified tender offer over FUTUREN

Following the acquisition on June 9th, 2017 of 67.2%[1] of the share capital of FUTUREN (FTRN), EDF Energies Nouvelles has filed today a draft offer document with the Autorité des Marchés Financiers (AMF) in view of the launch of a simplified tender offer for all the shares and convertible bonds (OCEANE) of FUTUREN not held by the EDF Energies Nouvelles group.

This offer will be proposed at a price of € 1.15 per share and € 9.37 (ex-coupon) per OCEANE, i.e. at the same conditions as those of the acquisition completed on June 9th, 2017 from the previous majority shareholders.

FUTUREN has also filed today with the AMF a draft document in response to the simplified tender offer launched by EDF Energies Nouvelles which contains, inter alia, the reasoned opinion of its board of directors held on June 19th, 2017 according to which, based on the conclusions of Finexsi[2] and the recommendations of the committee comprising the independent directors, such offer is in the best interests of the company, its employees and its shareholders and OCEANE holders.
